The 66th Annual General Meeting of the Mercedes-Benz Club Limited will be held in the Hatton

You are warmly welcomed to attend, hear the reports and exercise your vote for the resolutions to be considered. If you would like to put a question to any member of the Board, it would be helpful if you could send it to admin.processing@mercedes-benz-club.co.uk by Wednesday 4 September 2024 so that they have time to prepare a proper answer for you. You are welcome to send in a question even if you are not able to attend the meeting.
If you cannot attend the meeting, you can vote by proxy using the form you can find in the AGM folder linked above.
The agenda for the meeting is as follows:
- Welcome and opening remarks
- Chairman’s overview
- Finance overview
- To consider and, if thought fit, pass the following Resolutions, of which Resolution (1) will be proposed as an ordinary resolution and Resolution (2) will be proposed as a special resolution:
(1) THAT the Directors’ Report and Financial Statements for the year ended March 31 2024 be received, and
(2) THAT the Company’s Articles of Association be amended as follows:
(a) by the deletion of existing Articles 13(2) and 13(3) and the insertion of new Articles 13(2) and 13(3) as follows: ‘(2) Subject to Article 13(3), the quorum for the transaction of business at a meeting of directors is any three (3) Eligible Directors unless there are more than six (6) Eligible Directors in which case the quorum is that number of Eligible Directors constituting 50 per cent of the total number of Eligible Directors (rounded up to the nearest whole number).
(3) For the purposes of any meeting (or any part of a meeting) held pursuant to Article 16 to authorise a Conflict, if there are fewer than three (3) Eligible Directors in office other than the Interested Director(s), the quorum for such meeting (or part of a meeting) shall be one Eligible Director.’
(b) by the deletion of the word ‘All’ at the beginning of Article 25(4) and the substitution therefor of the words ‘Unless the Directors from time to time decide otherwise in a particular case or class of cases because they consider it is in the best interests of the Company for a particular fee to be waived or reduced, all’, and (c) by the insertion of new sub-paragraph (a) in Article 26(1) as follows:
‘(a) he fails to pay the subscription fee for renewal of his membership within such period as is determined in accordance with the Rules, or’ and the renumbering of existing sub-paragraphs (a) to (c) of Article 26(1) as sub-paragraphs (b) to (d).
Notes:
- A Member may appoint another person (who need not be a Member) as proxy to exercise all or any of his/her rights to attend, speak and vote at the meeting.
- The appointment of a proxy will not preclude the Member from attending, voting and speaking in person at the meeting.
- To be effective at the AGM, a proxy notice must be completed, signed and sent either by post to the Company’s registered office at 30 Scotgate, Stamford, Lincs, PE9 2YQ, UK or by e-mail to admin.processing@mercedes-benz-club.co.uk so as to be received no later than midnight on Wednesday September 4 2024.
