Can you help?
The Club needs to appoint a new Company Secretary to replace our current Interim Company Secretary, Geoffrey Hunter, who is looking to stand down at the AGM on the 15 th January 2023, at the same time as the Interim Board.
The role involves supporting the Board of Directors with the governance and corporate
administration of the Club, including:
- assisting the Directors, including the Chairman, with the organisation and management of Board meetings – these are normally held bi-monthly alternating between physical and online meetings but may be needed on other occasions
- organisation of any meetings of Members, including the Annual General Meeting
- drafting of agendas and minutes of meetings for the above
- working with the Finance Director to produce the Club’s Annual Report and Accounts for
circulation to Members - carrying out necessary filings at Companies House, including for the Club’s five dormant
name-protection companies - helping ensure the Club operates according to its Articles of Association and Rules
- assisting with the management of the Club’s contracts with external suppliers, such as
reviewing the Club’s insurance policies - carrying out the tasks allocated to the Company Secretary under the Club’s Rules – for
example, acting as the point of contact with Members in certain (rare) circumstances such as
the handling of a complaint - carrying out ad hoc tasks arising from discussions or decisions of the Board, such as research
into a proposed new activity or a recommended solution to a particular problem
You need not be formally qualified but it would be useful if you have some experience of this work.
